These Terms and Conditions (“**Terms**”) govern the access to and use of medical, dental, and related health services provided by Precisionbio Clinic and its affiliated entities (“**Precisionbio**”, “**we**”, “**our**”, or “**us**”), including services delivered in the United States and Mexico, as well as use of our websites, telehealth platforms, online forms, and digital communication channels (collectively, the “**Services**”).

By scheduling an appointment, receiving Services, using our website, or signing any intake or consent forms, you (“**you**” or “**Patient**”) acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies we provide at the time of care.

1. Nature of Services and No Guarantee of Results

1.1. Precisionbio provides medical, dental, diagnostic, wellness, and related health services in accordance with applicable professional standards, using reasonable skill and care.

1.2. Medicine and healthcare are not exact sciences. Clinical outcomes can vary between individuals and cannot be guaranteed. Any descriptions of potential results, success rates, or testimonials are illustrative only and do not constitute a promise, guarantee, or warranty of any specific outcome.

1.3. All diagnoses, treatment plans, and recommendations are based on the information you provide and on clinical findings at the time of evaluation. Changes in your health status or incomplete information may affect clinical decisions and outcomes.

2. Eligibility, Patient Responsibilities, and Accuracy of Information

2.1. You must be legally capable of consenting to medical treatment under applicable law, or be represented by a parent, guardian, or legally authorized representative who consents on your behalf.

2.2. You are responsible for providing complete, accurate, and current information about your identity, medical history, medications, allergies, and other relevant details. Omissions or inaccuracies may affect your treatment and safety.

2.3. You agree to promptly inform us of any changes in your health status, medications, insurance coverage, or contact details.

3. Appointments, Cancellations, and No-Shows

3.1. Appointments may be scheduled in person, by phone, or through our online systems, subject to availability.

3.2. You agree to arrive on time. If you are late, your appointment may be shortened or rescheduled, and applicable fees may still apply.

3.3. Precisionbio may require a deposit or pre-authorization for certain procedures. The deposit policies, including refund conditions, will be communicated in advance.

3.4. Cancellations and rescheduling must be requested within the timeframe communicated by the clinic (e.g., 24–48 hours before the appointment). Late cancellations or no-shows may result in a fee or forfeiture of deposits.

3.5. Precisionbio reserves the right to cancel or reschedule appointments due to provider unavailability, equipment issues, emergencies, or events beyond our control. In such cases, we will use reasonable efforts to notify you and offer an alternative date.

4. Cross-Border Care (US and Mexico)

4.1. Precisionbio may provide Services in the United States, Mexico, or both, and may coordinate care between facilities in different jurisdictions.

4.2. Healthcare regulations, licensing requirements, and patient protections may differ between countries. By receiving Services in a particular country, you acknowledge that such Services are subject to that country’s local laws and regulations, in addition to any applicable international obligations.

4.3. Patients traveling for medical care (medical tourism) are responsible for their travel arrangements, visas, accommodations, and related logistics. Precisionbio is not responsible for travel-related issues, delays, or risks, including those affecting your ability to receive Services.

5. Financial Terms, Insurance, and Payments

5.1. You are ultimately responsible for payment of all fees associated with the Services you receive, regardless of insurance coverage or reimbursement outcomes.

5.2. For insured patients, we may assist in billing your insurance carrier as a convenience; however, coverage determinations, deductibles, co-payments, co-insurance, and denials are controlled by your insurer, not by Precisionbio.

5.3. Fees for Services will be disclosed or made reasonably available through estimates, price lists, or written treatment plans, recognizing that actual costs may vary based on clinical findings or changes in treatment.

5.4. Payment is typically due at the time of service unless otherwise agreed in writing. We may accept various payment methods (e.g., cash, card, bank transfer, financing partners) depending on the clinic location.

5.5. Precisionbio may charge interest, administrative fees, or collection costs on overdue balances as permitted by applicable law.

5.6. Currency conversions, foreign transaction fees, or banking costs related to cross-border payments are your responsibility.

6. Use of Telehealth and Electronic Communications

6.1. Precisionbio may provide telehealth or telemedicine Services via video, audio, messaging, or other digital platforms, subject to provider licensing rules and local regulations.

6.2. Telehealth has limitations compared to in-person care, including potential technological failures, privacy risks inherent to electronic communication, and diagnostic limitations due to lack of physical examination.

6.3. By using telehealth Services, you consent to the use of such technologies and acknowledge these limitations and risks. You agree to:

- Use a secure connection and private environment when possible.

- Not record sessions without explicit written consent from Precisionbio and the provider, where allowed by law.

6.4. Telehealth is not suitable for emergencies. In case of an emergency, you should seek immediate local emergency assistance (e.g., calling 911 in the US or 911/appropriate emergency number in Mexico).

7. Website Use, Content, and No Medical Advice Online

7.1. Information on our website, social media, newsletters, and other digital channels is provided for general informational and educational purposes only and does not constitute medical advice, diagnosis, or treatment.

7.2. Online content is not a substitute for an in-person consultation with a qualified healthcare professional. You should never disregard professional medical advice or delay seeking care because of information found online.

7.3. Website content, including text, graphics, logos, images, and trademarks, is owned by or licensed to Precisionbio and may be protected by intellectual property laws. You may not copy, reproduce, modify, or distribute it for commercial purposes without our prior written consent.

7.4. We may provide links to third-party sites or services. These links are provided for convenience only and do not imply endorsement. We are not responsible for the content, privacy practices, or services of third parties.

8. Privacy, Data Protection, and Medical Records

8.1. Precisionbio handles your personal data and health information in accordance with our Privacy Policy and applicable law, including HIPAA in the United States and Mexico’s LFPDPPP and relevant health regulations, as applicable.

8.2. By using our Services, you acknowledge that your data may be processed in the United States, Mexico, and other jurisdictions where our service providers operate, with appropriate safeguards.

8.3. You may have rights relating to access, correction, restriction, and other data subject rights under applicable US and Mexican law, as described in our Privacy Policy.

8.4. Requests regarding your medical records or privacy rights should follow the procedures described in our Privacy Policy.

9. Clinical Consent, Informed Consent, and Refusal of Treatment

9.1. Before certain procedures or treatments, we may require you to sign additional informed consent documents that describe specific risks, benefits, alternatives, and post-treatment care.

9.2. You have the right to ask questions and to receive information in a manner reasonably understandable to you, subject to language and resource availability.

9.3. You may refuse any treatment or procedure, subject to applicable law and clinical judgment. If you refuse recommended care, you acknowledge that such refusal may negatively affect your health and outcomes, and you accept responsibility for those consequences.

9.4. In some circumstances, if you refuse necessary treatment or fail to follow agreed care plans, the provider may, consistent with legal and ethical obligations, choose to terminate the provider–patient relationship with reasonable notice and subject to continuity-of-care requirements.

10. Restrictions, Clinic Rules, and Patient Conduct

10.1. For the safety and comfort of patients and staff, you agree to comply with clinic rules, including but not limited to:

- Prohibitions on violence, harassment, or abusive behavior.

- Compliance with infection control measures and posted safety instructions.

- Limits on photography or recording in clinical areas, except with explicit permission.

10.2. We reserve the right to refuse or discontinue non-emergency Services if a patient’s behavior is abusive, threatening, or otherwise incompatible with a safe clinical environment, consistent with legal and ethical obligations.

11. Disclaimers and Limitation of Liability

11.1. To the fullest extent permitted by applicable law, Precisionbio disclaims all implied warranties related to the Services, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited.

11.2. Nothing in these Terms excludes or limits liability where such exclusion or limitation is not allowed by law, including liability for gross negligence, willful misconduct, or where consumer or patient protection laws mandate a minimum level of liability.

11.3. Subject to the preceding paragraph and to any mandatory legal protections:

- Precisionbio will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the Services, website use, or these Terms.

- Precisionbio’s total aggregate liability for claims arising from or related to the Services or these Terms will be limited to the amount you paid for the relevant Services in the 12 months preceding the claim, to the extent allowed by law.

Different jurisdictions (including certain states in the US and Mexican consumer laws) may impose additional patient and consumer protections that cannot be waived; in such cases, those rights remain in force.

12. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Precisionbio, its owners, directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of:

- Your breach of these Terms or other clinic policies.

- Your misuse of the website or telehealth platforms.

- Your violation of applicable law or rights of third parties.

This indemnity does not apply where prohibited by patient-protection or consumer laws.

13. Governing Law, Jurisdiction, and Dispute Resolution

13.1. These Terms will be governed by and interpreted in accordance with the laws of:

- The state and federal laws of the United States for Services rendered in the US, without regard to conflict-of-laws principles.

- The federal laws of Mexico and any applicable state laws for Services rendered in Mexico.

13.2. Depending on where the Services are provided, you agree that any disputes arising out of or related to those Services will be subject to the exclusive or non-exclusive jurisdiction of the competent courts in that location, except where consumer or patient laws provide you with the right to bring a claim in another forum.

13.3. We may propose alternative dispute resolution mechanisms such as mediation or arbitration where permitted by law, which will be explained in separate agreements if applicable.

14. Changes to These Terms

14.1. Precisionbio may update these Terms from time to time to reflect changes in law, clinical practice, technology, or business operations.

14.2. When changes are material, we will update the “Last Updated” date and may notify you via our website, email, or in-clinic notices, as appropriate.

14.3. Your continued use of the Services after such changes become effective constitutes your acceptance of the updated Terms, to the extent allowed by law.

15. Severability and Entire Agreement

15.1. If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

15.2. These Terms, together with any signed informed consent documents, financial agreements, and our Privacy Policy, constitute the entire agreement between you and Precisionbio with respect to the non-clinical legal terms governing the Services and supersede any prior written or oral understandings on these topics.
